End User License & Acceptable Use Agreement

1. Parties and Effective Date

This End User License and Acceptable Use Agreement is entered into between Marietta Project Management, LLC, a Georgia limited liability company with its principal place of business in Atlanta, Georgia, doing business as MPM PodStudio Suite (“MPM”), and the individual or entity accepting this Agreement (“User”). It is effective upon the earlier of your clicking “I Agree”/“Get Started Free,” your creation of an account, or your first use of any component of the Platform.

2. Age Requirement and Eligibility

You must be at least 18 years of age to use this Platform. By creating an account or using any feature, you represent and warrant that you are 18 or older, have the legal capacity to enter binding contracts, are not prohibited from using the Platform under applicable law, and that your account information is accurate. MPM reserves the right to terminate any account where the User is found or suspected to be under 18, without notice and without refund.

3. Content Standards and Prohibited Content

MPM PodStudio Suite is a professional podcast production platform. All content recorded, edited, published, or distributed through the Platform — including audio, video, show notes, titles, descriptions, and artwork — must meet the standards below.

Zero tolerance — immediate permanent revocation

• ✕Pornographic or sexually explicit content of any kind.
• ✕Content involving minors in any sexual or exploitative context.

Prohibited — suspension or permanent revocation

• ✕Hate speech targeting individuals or groups based on protected characteristics.
• ✕Social deception — false information presented as fact with intent to mislead.
• ✕Incitement to violence or illegal activity; terrorism or extremism.
• ✕Coordinated inauthentic political behavior and false voting or election information.

Expressly permitted

• ✓Political commentary, opinion, and analysis.
• ✓Civic coverage and local government reporting.
• ✓Candidate interviews, endorsements, policy analysis, and advocacy.
• ✓Satire and parody clearly labeled as such.

4. Enforcement, Appeals, and Reporting

MPM applies a tiered enforcement model ranging from warnings (Level 1) to suspension (Level 2), permanent revocation (Level 3), and immediate permanent revocation with referral to law enforcement where applicable (Level 4). Users suspended or revoked under Level 2 or Level 3 may submit a written appeal within 30 days to almartin@mariettapm.com with the subject line “Content Enforcement Appeal.” MPM responds within 14 business days. Level 4 actions are not subject to appeal. Violations may be reported to the same address.

5. Usage Limits, Episode Credits, and Additional Minutes

Plans include defined episode and duration limits that reset monthly. Additional episode credits and duration upgrades are available for purchase. MPM enforces limits gracefully — recordings are never cut off mid-session, and in-app notifications appear as you approach a limit. 6. License Grant and Prohibited Platform Use

MPM grants you a limited, non-exclusive, non-transferable license to use the Platform for lawful podcast production and distribution through its approved channels. You may not circumvent security or usage limits, reverse engineer any component, share account credentials, use automated tools except through MPM’s published API, resell or sublicense your subscription, or use the Platform in violation of applicable law.

7. Intellectual Property

You retain ownership of all original content you create on the Platform. MPM retains all rights to the Platform, software, and AI systems.

8. Privacy and Data Handling

MPM collects account information, usage data, recording metadata, and behavioral analytics as described in the Privacy Policy. Recordings are stored in Atoms Cloud object storage. MPM does not use your audio or video content to train AI models. Recordings are retained for 12 months following account closure and then permanently deleted unless you request earlier deletion.

9. Term, Termination, and Governing Law

This Agreement begins when you first accept it and continues until terminated by either party. You may terminate at any time through account settings; published episodes remain accessible to your listeners for 90 days following termination. MPM may terminate accounts that violate this Agreement immediately and without notice. This Agreement is governed by the laws of the State of Georgia, United States, with disputes resolved by binding arbitration in Atlanta, Georgia.
